Cinemark USA, Inc. to Offer $200 Million of Senior Subordinated Notes

PLANO, Texas--(BUSINESS WIRE)-- Cinemark Holdings, Inc. (NYSE:CNK) announced today that its wholly-owned subsidiary, Cinemark USA, Inc. (the "Company"), plans to commence a private offering to eligible purchasers of $200 million aggregate principal amount of Senior Subordinated Notes due 2021 (the "2021 Notes"). The 2021 Notes will be guaranteed by certain of the Company's subsidiaries that guarantee the Company's and the guarantors' debt. The Company intends to use the net proceeds of the proposed offering to repay approximately $157 million of term loans outstanding under its senior secured credit facility and for general corporate purposes.

The 2021 Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. The Company plans to offer and issue the 2021 Notes only to qualified institutional buyers pursuant to Rule 144A under the Securities Act and to persons outside the United States pursuant to Regulation S under the Securities Act.
